Wyoming LLC Guide Form Your LLC

Stripe Atlas forms Delaware companies, so if you want a Wyoming LLC you'll need a different service. Our Non-US Founder Package forms Wyoming LLCs for owners outside the United States for $399 plus the $100 state fee, with a registered agent for the first year and $99 a year after that. Below is how it compares with Atlas. Since one of these two options is ours, factor that into how you read it.

The case for Stripe Atlas

  1. Designed for fundraising. Atlas handles the 83(b) election, stock issuance, and SAFEs, with legal documents drafted alongside Cooley.
  2. One price with the state fee inside. For $500 you get the Delaware filing fee paid and twelve months of registered agent coverage.
  3. Perks. $2,500 in Stripe credits plus partner offers that Stripe values at about $50,000.
  4. Fast Delaware filing, with next-day expedited formation offered.

How the offers differ

  1. State. Atlas is Delaware only. We form in Wyoming, which charges $100 to file and sets its yearly license tax at $60 for LLCs with Wyoming assets of $300,000 or less.
  2. Entity focus. Atlas is built around startups that may raise capital. Our package is built around nonresident LLC owners who need a registered agent, an EIN, and a bank application.
  3. Banking. Once your SS-4 is signed, we've got the account application completed from your order, with the filed Articles included. It goes out on your approval, without waiting for the EIN. Our partners decide whether to approve it.
  4. EIN. We complete the SS-4 using the IRS method for owners without an SSN and fax it. Expect two to eight weeks.
  5. Renewal. $99 a year against Atlas's $100. Close, but it's the only thing we bill after year one.

Choose Stripe Atlas if

  • You plan to raise venture capital and investors expect a Delaware C-corp.
  • You want 83(b) filing, stock issuance, and SAFEs handled as part of formation.
  • You already run payments through Stripe and want the company linked from the start.

Wyoming rules that apply to your LLC

  • Organizer and members: no US residency or citizenship required.
  • Registered office: a Wyoming street address with someone physically present; a PO box alone doesn't qualify.
  • Annual report and license tax: due the first day of your anniversary month, $60 minimum, or 0.0002 of Wyoming assets above $300,000.
  • Filing window: up to 120 days early. If it's more than 60 days late, the LLC can be administratively dissolved.

What our package leaves to you

Filing Wyoming's annual report and paying the license tax, plus any federal tax obligations. Neither Atlas nor we prepare Form 5472. A tax professional familiar with nonresident owners can handle it.

FAQ

Does Stripe Atlas offer Wyoming?

No. Atlas offers Delaware LLCs and Delaware C-corps only.

What does each option cost in the first year?

Atlas is $500 with the Delaware filing fee and first-year agent included. Ours is $399 plus Wyoming's $100 filing fee, with the first-year agent included, so $499 in total.

What does each cost the year after?

Atlas's registered agent is $100 a year, and Delaware's annual taxes are separate and not listed on the Atlas page. Our agent renewal is $99, and Wyoming's annual license tax, paid to the state, has a $60 minimum.

Is Stripe Treasury a bank account?

Stripe describes Atlas's banking as Stripe Treasury, and it refunds the $500 Atlas fee after a $5,000 Treasury deposit. Our package takes a different approach: an account application prepared for our partners, which you approve before it's sent.

Should I choose Delaware or Wyoming?

It depends on your plans. Delaware C-corps are common for venture-backed startups, which is where Atlas focuses. For a nonresident running a smaller LLC, Wyoming's $100 filing fee and $60 minimum yearly tax are simpler. This isn't tax or legal advice.
