Wyoming LLC Guide Form Your LLC

Firstbase's $99 formation price and our $399 package end up close in year one once you add the registered agent Firstbase requires. From year two, the gap is the agent fee: $299 a year at Firstbase, $99 with us. Firstbase's fee does include annual report filing, which ours does not. Here are the details for a nonresident forming in Wyoming. We sell a competing package, so weigh our comparison accordingly.

The case for Firstbase

  1. Published nonresident tax filing. $899 a year for a single-member LLC's pro forma 1120, Form 5472, 1099s, and extension. If you want that handled every year at a known price, this is a clear option.
  2. Annual reports inside the agent fee. Its registered agent product covers annual reports and BOI filings.
  3. Two states, two entity types. Delaware or Wyoming, LLC or C-corp.
  4. No SSN or ITIN needed for the EIN, per Firstbase, with Mercury named for banking.
  5. Add-ons such as mailroom (from $35 a month) and accounting.

How the offers differ

  1. What the headline price covers. Firstbase's $99 is formation only. Our $399 already includes the agent's first year, the EIN application, and the bank application.
  2. Year-one total in Wyoming. Firstbase: $99 + $299 agent + $100 state = $498. Ours: $399 + $100 state = $499.
  3. Later years. $299 against $99 for the agent. Firstbase's figure includes annual reports; with us, you file the report yourself, which Wyoming lets you do online.
  4. Bank application. Once the SS-4 has your signature, our partners' application is ready to go, built from your order with the Articles attached. You approve it before we send it. Approval is up to our partners, never guaranteed.
  5. EIN. SS-4 prepared by us, e-signed by you, faxed by us. The IRS usually takes two to eight weeks.

Choose Firstbase if

  • You want Form 5472 filed each year by your formation provider at a set price.
  • You'd rather pay more for the agent and not file Wyoming's annual report yourself.
  • You're forming a Delaware C-corp.

Wyoming rules that apply to your LLC

  • Articles of Organization: $100 to file.
  • Registered agent: mandatory at all times, at a Wyoming street address. Reinstating an LLC that lost its agent costs $350.
  • Yearly filing: the annual report and license tax fall due on the first of your anniversary month; $60 if Wyoming assets are $300,000 or less.
  • Dissolution risk: a report more than 60 days late can trigger administrative dissolution, with two years to reinstate.

What our package leaves to you

FAQ

Does Firstbase Start include a registered agent?

No. Firstbase states that registered agent services are required for incorporation, and it sells them separately at $299 a year per state. Our package includes the agent for the first year.

What's the five-year agent cost with each?

At current published prices, Firstbase's agent comes to $1,495 over five years. With us, the first year is inside the $399 package and the next four years are $99 each, or $396.

Is Firstbase's $99 price permanent?

Its page shows $99 marked down from $399 and doesn't say whether that's time-limited. Check at checkout.

Can Firstbase prepare my Form 5472?

Yes. Its non-US single-member LLC tax filing is $899 a year and covers a pro forma 1120, Form 5472, 1099s, and a filing extension. We don't provide tax filing.

Does Firstbase handle Wyoming annual reports?

Firstbase includes annual reports in its registered agent product. We don't file them, so under our package you file Wyoming's report and pay the license tax directly.
